DuPont ready to finalize sale of Materials division to Celanese Corporation

PARKERSBURG — DuPont’s Mobility & Materials Segment is being sold to the Celanese Corporation for around $11 billion, but possible impacts on the Mid-Ohio Valley are not yet known.

The agreement with Celanese, originally announced in February, will include the Engineering Polymers business line and select product lines within the Performance Resins and Advanced Solutions business lines for $11 billion in cash.

Combined, these businesses generated net sales of approximately $3.5 billion, according to a press release from DuPont.

Celanese has received fully committed financing in connection with the transaction, the press release said. The transaction is expected to close around the end of 2022, subject to customary closing conditions and regulatory approvals.

“We are proud of the strength of these industry-leading businesses, which we believe will be even stronger when combined with the highly complementary portfolio of Celanese,” said Ed Breen, Executive Chairman and Chief Executive Officer of DuPont. “We are excited for Celanese to partner with the team and we are confident that together they will continue to drive industry-defining material science innovation to serve customers and the value chain.”

The Celanese Corporation is a global chemical leader in the production of differentiated chemistry solutions and specialty materials used in most major industries and consumer applications, according to the company’s website.

Based in Dallas, Texas, Celanese employs approximately 8,500 employees worldwide and had 2021 net sales of $8.5 billion.

“The acquisition of the M&M business (from DuPont) is an important strategic step forward and establishes Celanese as the preeminent global specialty materials company,” said Lori Ryerkerk, Chairman and Chief Executive Officer for Celanese. “We are eager to welcome the M&M team to Celanese and jointly elevate the future growth and cash generation of the combined Celanese portfolio.”

The M&M business is a leading global producer of engineering thermoplastics and elastomers serving a variety of end-uses including automotive, electrical and electronics, consumer goods, and industrial applications, according to a press release from Celanese.

Possible impacts to DuPont’s operations at Washington Works near Parkersburg are not yet known.

“Until the transaction closes, we are operating as business as usual,” said Dan Turner, Director of Public Affairs and Corporate Communications for DuPont.
